Terms of Service and Sale

Preamble

These General Terms (hereafter "Terms") govern the use of the InekIA service accessible at inekia.io and app.inekia.io (hereafter the "Service"), operated by Stratelya SASU.

By registering for the Service or creating an account, you accept these Terms without reservation. If you do not accept these Terms, you must not use the Service.

2. Purpose of the Service

InekIA is a SaaS (Software-as-a-Service) platform for augmented strategic intelligence aimed at professionals, enabling in particular:

  • Competitive analysis assisted by artificial intelligence
  • Automated strategic monitoring
  • Market signal surveillance
  • Executive report generation
  • B2B contact prospecting and qualification

The Service is primarily intended for professionals (consultants, executives, investors, analysts) acting in the course of their professional activity.

3. Registration and user account

3.1 Conditions of access

Access to the Service requires the creation of a user account. You agree to:

  • Provide accurate, complete, and up-to-date information
  • Keep your credentials confidential
  • Be at least 18 years old or have parental authorization
  • Use the Service in the course of your professional activity

3.2 Account security

You are solely responsible for any activity carried out from your account. If you suspect a compromise, you must immediately inform us at contact@inekia.io.

3.3 Corporate account

If you create an account on behalf of a company, you warrant that you have the authority necessary to bind that company to these Terms.

4. Free trial

We offer a 7-calendar-day free trial period starting from account creation.

  • No charge is made during the trial period
  • At the end of the period, if you have subscribed to a plan, automatic billing begins
  • You may cancel the trial at any time from your account area without commitment

Only one trial period is allowed per person or company. Any attempt to circumvent this (creating multiple accounts) may result in Service suspension.

5. Subscription and pricing

5.1 Plans

Current prices are displayed at inekia.io/pricing. The current offering includes:

  • Solo plan: €79 excl. tax / month, automatic renewal

Prices are shown exclusive of tax. Applicable VAT is added based on the customer's country.

5.2 Payment methods

  • Payment by credit card via Stripe (PCI-DSS certified sub-processor)
  • Automatic monthly direct debit
  • In the event of a failed payment, your access may be suspended after notification

5.3 Price changes

We reserve the right to modify our prices. Any change will be notified by email at least 30 days before the next billing cycle. You may cancel before the new price takes effect.

6. Termination

6.1 Termination by the user

You may cancel your subscription at any time from your account area (Billing section).

  • Termination takes effect at the end of the current period (monthly or annual)
  • You retain access to the Service until that date
  • No prorated refund is due for the current period already billed, except as required by law
  • Your data is retained for 30 days after termination, then deleted (except for legal retention obligations)

6.2 Right of withdrawal (EU/EEA consumers only)

In accordance with Article L221-18 of the French Consumer Code, EU/EEA consumers (natural persons acting outside their trade, business, craft, or profession) have a period of 14 calendar days from subscription to withdraw without reason.

Important exception: by checking the box accepting these Terms at subscription, you expressly consent to the immediate commencement of the Service and waive the right of withdrawal if you actively use the Service before the end of the 14-day period (Article L221-28, 13° of the French Consumer Code).

This right of withdrawal does not apply to professionals (B2B contracts entered into in the course of professional activity) nor to consumers located outside the EU/EEA.

6.3 Termination by us

We may suspend or terminate your account in the event of:

  • Breach of these Terms
  • Unpaid amount not settled within 15 days
  • Fraudulent or abusive use of the Service
  • Non-compliance with applicable law

7. User obligations

You agree to:

  • Use the Service in compliance with applicable laws and regulations
  • Not attempt to access other users' accounts
  • Not perform reverse engineering, decompilation, or any attempt to extract the source code
  • Not use the Service for unlawful activities (spam, harassment, counterfeit, etc.)
  • Not resell, redistribute, or grant access to unauthorized third parties
  • Respect reasonable usage limits (request volume, storage)

8. Intellectual property

8.1 Our property

The Service, its design, code, InekIA brand, features, and documentation are protected by intellectual property rights and remain the exclusive property of Stratelya SASU.

No transfer of intellectual property is effected by your use of the Service.

8.2 Your content

You retain full ownership of the data and content you submit to the Service.

You grant us a non-exclusive, worldwide licence for the hosting and processing strictly necessary for the operation of the Service.

8.3 AI-generated outputs

Reports, analyses, and content generated by our AI agents based on your instructions belong to you. You may use them freely in the course of your professional activity.

Important: AI outputs are generated by probabilistic models and may contain errors. You are responsible for verifying them and for the use you make of them.

9. Availability and service level

We strive to ensure maximum availability of the Service, without committing to a specific service-level agreement (SLA).

Interruptions may occur for:

  • Scheduled maintenance (announced in advance when possible)
  • Emergency maintenance
  • Failures of our technical sub-processors
  • Force majeure events

10. Limitation of liability

The Service provides analyses and recommendations for informational purposes. Information generated by our AI agents does not constitute certified legal, financial, medical, or professional advice.

To the extent permitted by law:

  • Our liability is limited to the amount actually paid by you during the past 12 months
  • We are not liable for indirect damages (loss of revenue, loss of clientele, data loss caused by a third party, etc.)
  • We are not liable for decisions you make on the basis of our outputs
  • We are not liable for third-party content (public prospecting data, press articles, etc.)

Nothing in these Terms limits our liability in the event of gross negligence, wilful misconduct, or bodily injury.

11. Force majeure

Neither party shall be held liable for a breach linked to a force majeure event within the meaning of Article 1218 of the French Civil Code, including in particular: natural disasters, major internet infrastructure outages, acts of war or terrorism, and governmental decisions.

12. Personal data

The processing of your personal data is governed by our Privacy Policy accessible at inekia.io/privacy, which forms an integral part of these Terms.

13. Changes to these Terms

We may modify these Terms at any time. Substantial modifications will be notified by email at least 30 days before they take effect. By continuing to use the Service after that date, you accept the new Terms.

14. Governing law and jurisdiction

These Terms are governed by French law, regardless of where you access the Service from.

14.1 Mediation (consumers)

For consumers, in the event of a dispute, a free mediation procedure may be initiated with the consumer mediator designated by us (in the absence of a specific designation, the national consumer mediator).

14.2 Competent jurisdiction

Failing amicable resolution, any dispute will be submitted to the competent courts of Paris, France, subject to mandatory public policy provisions applicable to consumers in their country of residence.
